Advertising & Sponsorship Terms and Conditions

These Advertising & Sponsorship Terms and Conditions (“Agreement”) apply to all advertising, sponsorship and promotional activity booked with “Outreach Radio”, “we”, “us” or “our” refers to Outreach Radio and any radio station, channel, stream, service or platform operated under the Outreach brand, including (but not limited to) Outreach Radio, Outreach Gold, Outreach Extra, Outreach Dance, Outreach Classical, and any future Outreach-branded stations or services.
By placing an order, submitting advertising material, or paying an invoice, the Advertiser (“you”, “the Buyer”) agrees to be bound by this Agreement.

1. DEFINITIONS
Advertisement – any advertising, sponsorship credit, promotion, announcement or related content broadcast on Outreach Radio or published on Outreach Radio platforms.
Campaign – the advertising or sponsorship campaign described in the booking confirmation or invoice.
Campaign Start Date – the scheduled start date of the Campaign.
Material – all scripts, audio files, copy, artwork, logos, instructions or other content supplied by the Buyer.
Material Deadline
• at least 3 working days before the Campaign Start Date where Material is supplied by the Buyer; or
• at least 14 working days before the Campaign Start Date where Outreach Radio is producing the Advertisement.

2. APPLICATION & CONTRACT FORMATION
2.1 These Terms apply to all advertising and sponsorship booked with Outreach Radio and override any terms supplied by the Buyer.
2.2 A binding contract is formed once payment is made, an invoice is issued, or advertising material is submitted, whichever occurs first.
2.3 The booking confirmation or invoice forms part of this Agreement.

3. CAMPAIGN DELIVERY
3.1 Outreach Radio will use reasonable endeavours to broadcast or publish Advertisements in accordance with the Campaign details.
3.2 Exact broadcast times, placement and programme association are not guaranteed unless expressly agreed in writing.
3.3 Outreach Radio reserves the right to reschedule, replace or cancel advertising where required due to technical issues, programming changes, or regulatory requirements.

4. ADVERTISING MATERIALS
4.1 The Buyer is responsible for supplying Materials by the Material Deadline and in the format requested.
4.2 Delays in supplying Materials may result in delayed or reduced Campaign delivery, for which Outreach Radio shall not be liable.
4.3 Outreach Radio reserves the right to edit, reject or withdraw any Advertisement at its discretion, including where it:
• breaches law or advertising regulations (including BCAP);
• is misleading, offensive, defamatory or inappropriate; or
• conflicts with Outreach Radio policies or audience standards.

5. WARRANTIES & INDEMNITY
5.1 The Buyer warrants that:
• it has full authority to place the Advertisement;
• all Materials are accurate, legal and not misleading;
• all rights, licences, consents and approvals have been obtained;
• Materials do not infringe any third-party rights.
5.2 The Buyer agrees to indemnify and hold Outreach Radio harmless against all claims, losses, damages or costs arising from the Advertisement or Materials.

6. FEES & PAYMENT
6.1 Fees are as set out in the invoice and are exclusive of VAT, which shall be added where applicable.
6.2 Payment must be made in cleared funds before the Campaign Start Date, unless credit terms have been agreed in writing.
6.3 Outreach Radio reserves the right to suspend or cancel advertising for non-payment.
6.4 Time of payment is of the essence.

7. CANCELLATION
7.1 Advertising campaigns may be cancelled only by written notice received at least 21 working days before the Campaign Start Date.
7.2 Cancellations made after this time may still be charged, including any production costs incurred.
7.3 Where discounts are applied for volume or duration, Outreach Radio reserves the right to withdraw such discounts if the Campaign is cancelled or shortened.

8. SPONSORSHIP TERMS
8.1 Sponsorship bookings require a minimum three (3) months’ written notice to cancel.
8.2 Outreach Radio may cancel sponsorship arrangements at its discretion and without liability.
8.3 Programme schedules may change, including for holidays or special programming; sponsorship credits may be adjusted accordingly.

9. INTELLECTUAL PROPERTY
9.1 Outreach Radio retains ownership of all station branding, audio production and content it creates.
9.2 The Buyer grants Outreach Radio a non-exclusive, royalty-free licence to use the Buyer’s intellectual property solely for the Campaign.
9.3 No intellectual property may be reused without prior written consent.

10. LIABILITY
10.1 Outreach Radio’s total liability shall not exceed the amount paid for the relevant Advertisement.
10.2 Outreach Radio shall not be liable for indirect or consequential loss, loss of profits, business, reputation or goodwill.
10.3 Any complaint regarding broadcast errors or invoicing must be made in writing within 10 days of the issue arising.

11. TERMINATION
11.1 Outreach Radio may terminate this Agreement on 28 days’ written notice.
11.2 Either party may terminate immediately for material breach not remedied within 15 days of written notice.
11.3 On termination, all licences granted under this Agreement shall cease.

12. DATA PROTECTION
12.1 Outreach Radio will process personal data in accordance with applicable UK data protection laws.
12.2 The Buyer consents to data processing for advertising administration, invoicing and credit control purposes.

13. CONFIDENTIALITY
The parties agree to keep the terms of this Agreement and any confidential information private, except where disclosure is required by law.

14. GOVERNING LAW
This Agreement is governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
